TERMS OF SERVICE

1. Acceptance of Terms

By creating an account or using GeniMate (the "Service"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree, do not use the Service. These Terms constitute a binding legal agreement between you and GeniMate Inc.

2. Description of Service

GeniMate is an AI-powered platform that generates motion graphics and animated video content from text prompts. We offer subscription plans with varying render limits. Features and plans are subject to change with notice.

3. Account Registration

You must be at least 16 years old to create an account. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You must provide accurate, current, and complete information during registration. Notify us immediately of any unauthorised access at support@genimate.com.

4. Subscription Plans and Billing

• Free Plan: 3 renders per billing cycle. No credit card required.
• Pro Plan ($29/month): 100 renders per month, priority queue, image-to-motion.
• Agency Plan ($99/month): Unlimited renders, all Pro features, team brand kits.

Subscriptions are billed in advance on a monthly basis via Stripe. You authorise us to charge your payment method on each renewal date. Prices may change with 30 days' notice. You may cancel at any time; you will retain access until the end of your paid period. No refunds are issued for partial periods except where required by law.

5. Acceptable Use

You agree not to use the Service to:

• Generate content that is illegal, defamatory, harassing, abusive, fraudulent, or infringes third-party rights.
• Generate deepfakes, non-consensual intimate imagery, or content depicting minors in a sexual context.
• Attempt to reverse-engineer, scrape, or extract our AI models or training data.
• Circumvent rate limits, render quotas, or security controls.
• Impersonate any person or entity.
• Use the Service for any unlawful purpose or in violation of any applicable law.

We reserve the right to suspend or terminate accounts that violate these rules without refund.

6. Intellectual Property

Your content: You retain ownership of prompts and images you submit. You grant GeniMate a limited, non-exclusive licence to process your inputs solely to deliver the Service.

Generated outputs: Subject to your compliance with these Terms and payment of applicable fees, you own the motion graphics generated from your prompts and may use them for commercial purposes.

Our platform: GeniMate's software, models, branding, and design are owned by GeniMate Inc. and protected by copyright, trademark, and other laws. You may not copy, modify, or distribute them without written permission.

7. Third-Party AI Providers

The Service uses Anthropic and OpenAI APIs to generate content. You acknowledge that outputs may occasionally be unexpected or inaccurate. You are responsible for reviewing outputs before publication. GeniMate is not liable for outputs produced by third-party AI models.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GENIMATE INC. AND ITS OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, OR GOODWILL. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE IS LIMITED TO THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify and hold harmless GeniMate Inc. and its affiliates from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, your content, or your violation of these Terms.

11. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any dispute will be resolved exclusively in the state or federal courts located in Delaware. You waive any objection to jurisdiction or venue in those courts.

12. Changes to Terms

We may revise these Terms at any time. We will notify you of material changes by email or in-app notice at least 14 days before the new Terms take effect. Continued use after the effective date constitutes acceptance.
